Commercial Terms for International Buyers

These Terms and Conditions govern the commercial relationship between Reliablizexport (the exporter) and international buyers (the importer), and apply to all export transactions unless expressly superseded by an alternate written agreement signed by authorized representatives of both parties. By placing an order, buyers confirm their acceptance of these terms.

Ordering and Minimum Order Quantity (MOQ)

All export orders must comply with the applicable MOQ for the selected product category and brand, as detailed in the formal quotation. MOQ requirements vary based on product type, whether items are from existing stock or require dedicated production, and shipment method (FCL or LCL). Orders below the specified MOQ may be declined or accepted subject to additional handling charges.

Pricing, Incoterms, and Quotation Validity

All prices are stated in the applicable Incoterm — typically FOB or CIF, with CFR available on request — and are exclusive of destination-country duties and taxes unless explicitly stated. Quotation validity is specified in each pro forma invoice, typically 7 to 30 days, and is subject to change based on raw material and freight market conditions.

Payment Terms

New buyers and first-time transactions typically require advance T/T payment or a confirmed, irrevocable Letter of Credit before production commences. Established buyers with a demonstrated payment history may be extended more flexible terms following verification. All payment terms are confirmed in writing in the pro forma invoice.

Delivery, Dispatch, and Risk Transfer

Goods are dispatched within mutually confirmed lead times, subject to force majeure conditions including natural disasters, port congestion, labour disputes, or government restrictions. Under FOB terms, risk transfers to the buyer once goods are loaded on board the vessel at the Indian port of origin. Under CIF terms, we arrange freight and insurance to the buyer's destination port, though risk transfer follows standard Incoterm rules. Buyers are responsible for import duties, local taxes, and customs clearance at the destination.

Documentation

Each shipment is accompanied by a commercial invoice, packing list, bill of lading, certificate of origin, and, for grocery consignments, phytosanitary and fumigation certificates as applicable. Buyers are responsible for reviewing documentation promptly upon receipt and notifying us of any discrepancies before goods arrive at the destination port.

Inspection, Claims, and Returns

Buyers must inspect goods upon arrival and report any claims related to transit damage, quantity shortages, or quality non-conformity within seven calendar days of container arrival, supported by photographic evidence and documentation. We undertake a thorough verification process and propose appropriate remediation including replacement in a future shipment, credit adjustment, or partial refund.

Product Use and Resale

All products supplied are intended for legitimate wholesale, distribution, or retail resale in the buyer's market. Buyers are responsible for ensuring products comply with local regulations, labelling requirements, and consumer protection laws in their respective countries. Private label arrangements are governed by separate written agreements.

Limitation of Liability and Indemnity

Our total liability for any claim arising from product defects, supply issues, or shipment discrepancies is strictly limited to the invoice value of the specific affected goods. We shall not be liable for indirect, consequential, or incidental damages including lost profits or business interruption, unless mandated by applicable law. Buyers agree to indemnify us against claims arising from misuse of products or violation of applicable import laws in their jurisdiction.

Governing Law and Dispute Resolution

These terms, and all transactions conducted under them, are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts located in Delhi, India, or resolved through mutually agreed international arbitration where specified in the sales contract. Both parties are encouraged to pursue amicable resolution through good-faith negotiation before initiating formal proceedings.
